Know our Referral Program - InvoiCy
These regulations establish the terms and conditions applicable to participation in the InvoiCy Referral Program, whose objective is to allow an individual or legal entity, hereinafter referred to as the “REFERRER”, to refer another person or company, hereinafter referred to as the “REFERRAL”, for the acquisition of products or services offered by MIGRATE specified below. Participation in the Program implies full acceptance of all conditions expressed herein and the applicable Policies.
1. About the company and the program:
MIGRATE SISTEMAS DE INFORMAÇÃO LTDA, a private legal entity, registered with CNPJ under no. 06.354.976/0001-49, with headquarters at Rua Padre Cacique, no. 985, Bairro Centro, CEP: 98.910-000, city of Três de Maio/RS, is responsible for the InvoiCy Referral Program.
The InvoiCy Referral Program was created with the objective of rewarding the REFERRER - an individual or legal entity - who refers a new client to MIGRATE. Current clients, commercial partners, or any other interested person, here referred to as the REFERRER, may be a REFERRER.
2. Requirements to register:
2.1. The InvoiCy Referral Program will be available to legal entities duly constituted and with active registration in the National Registry of Legal Entities - CNPJ, as well as to individuals who are fully capable under current civil law.
2.2. The REFERRER who is already a MIGRATE client can start the referral in a simplified way, by clicking on the “Refer InvoiCy” option through the login screen of the InvoiCy Platform, which will automatically redirect them to the program's official page to register the referral.
2.3. Only one REFERRER can be linked, through their registration with full name, CPF/CNPJ, email and WhatsApp, and there can be no duplication of data in any case.
2.4 To participate as a REFERRER, you need to be:
2.4.1. Legal Entity: Be duly constituted, with active registration in the National Registry of Legal Entities (CNPJ).
2.4.2. Individual: Be at least 18 (eighteen) years old.
The REFERRER will only be able to enjoy the benefits of this program after completing the entire registration and formally agreeing to these regulations.
2.5. Participation in the InvoiCy Referral Program is voluntary, and does not establish any type of employment, corporate, service provision or subordination relationship between the REFERRER, REFERRAL and MIGRATE. The relationship is occasional, being conditioned exclusively to the fulfillment of the criteria defined in these regulations for receiving the reward.
3. Program registration:
3.1. To qualify for the program, the REFERRER must completely fill in all the data required on the registration form and, obligatorily, accept the terms and conditions of these regulations. Failure to accept the terms will prevent the completion of the registration and participation in the program.
3.2. For a referral to be considered valid and the commercial contact to be effective, it is essential that the REFERRER provides the complete details of the person/company referred. Referrals with incomplete or invalid data may be disregarded.
It is the exclusive and full responsibility of the REFERRER to ensure the accuracy, quality, legality and veracity of their registration data and the information of the referral.
3.3. MIGRATE is not responsible for communication or payment failures caused by incorrect or incomplete data. Additionally, the entry of false information may lead to the annulment of the referral and the cancellation of the registration.
3.4. MIGRATE reserves the right to use valid means to verify the identity of the REFERRER and to request documents that it deems necessary to prove the regularity of the registration. The registration may undergo approval by the commercial sector for validation.
3.5. It is strictly prohibited to use the InvoiCy Referral Program for any illicit, offensive, abusive purposes or that violate the rights of third parties. Failure to comply with this rule will result in the immediate exclusion of the REFERRER from the program, without prejudice to applicable legal measures.
4. To make a Referral:
4.1. Only referrals made through the referral page available on the website: https://migrate.info/ and that result in a conversion, that is, the signing of a contract, will be accepted and rewarded. Referrals made through other means or without conversion will not be considered.
4.2. For the referral to be valid, it is essential to completely fill in the minimum data of the REFERRAL, including name, company, email and telephone. The same form will allow the registration of more than one referral at a time.
4.3. The REFERRER can refer any people or companies that may be interested in the solutions and services offered by the INVOICY Platform - Technological Solutions for Tax Management, with no limit on the number of referrals.
4.4. The REFERRER will only be entitled to receive the prize provided for in these regulations after the effective closing of the contract between MIGRATE and the company referred by them, referred to in this document as the REFERRAL, as well as the effective payment of the first installment referring to the contracted maintenance service. Failure to comply with any of these conditions will imply the non-existence of the right to the prize, even if the referral has been validly made.
4.5. The mere act of making a referral only generates an expectation of consideration, not being binding. MIGRATE reserves the right, upon evaluation and justification, to discard referrals that do not meet the qualification criteria of the InvoiCy Referral Program, as defined throughout these regulations, thus not generating any right to a reward.
4.6. If the same person or company is referred by more than one REFERRER, only the first referral registered in the system will be considered valid, based on the date and time the form was submitted.
4.7. Referrals that fall into any of the following criteria will not be considered eligible for the InvoiCy Referral Program, and will be automatically discarded:
a) The referral is already a MIGRATE client. The reward applies only to referrals that result in new contracts, and is not due when the REFERRAL is already a MIGRATE client, even if they contract additional or different modules.
b) The referral was already in negotiation with the MIGRATE commercial team before the date of the referral;
c) The REFERRER refers themselves or a company of which they are a partner or owner;
d) The contact details of the referral are invalid, incorrect or make communication by the MIGRATE commercial team impossible.
4.8. Each referral will be valid for a period of 180 (one hundred and eighty) days from the date of its registration in the InvoiCy Referral Program. If the contract with the referral is closed after this period, the referral will no longer be eligible for the reward.
5. Referral Reward:
5.1. The REFERRER who makes a referral that results in a new client for MIGRATE will be financially rewarded, in which a new contract is signed, according to the terms and values provided for in these regulations. The reward is granted once for each contract closed.
5.2. The prize amount is defined based on the Monthly Recurring Revenue (MRR) range of the contract closed with the referred client, following the categories below:
Bronze: From R$500.00 to R$ 2,000.00 -> Reward: R$ 500.00
Silver: From R$ 2,000.01 to R$ 5,000.00 -> Reward: R$ 1,000.00
Gold: From R$ 5,000.01 to R$ 10,000.00 -> Reward: R$ 1,500.00
Diamond: Above R$ 10,000.00 -> Reward: R$ 2,000.00
5.3. If the REFERRER refers a contract with a value of R$ 500.00 (five hundred reais) to R$ 2,000.00 (two thousand reais), they will be entitled to R$ 500.00 (five hundred reais) per valid referral. For referrals with a value, for example, of R$ 2,000.01, the REFERRER will automatically start receiving R$ 1,000.00 (one thousand reais) per valid referral, applying the value corresponding to each new prize bracket. The prize will be applied individually to each confirmed referral, with no sum or aggregation of values between different referrals. The referrals will be calculated in the following month.
5.4. The reward will be paid to the REFERRER once for each converted referral. The payment will only be made after the cumulative fulfillment of all the following conditions:
a) The referral registration was made with all correct, complete and updated data of the REFERRAL;
b) Formalization of the contract between the referred client and MIGRATE;
c) Confirmation of the first payment of the first recurring payment by the referred client to MIGRATE;
d) The REFERRAL is not previously listed as in negotiation in the InvoiCy database or other requirements provided for in these regulations.
5.5. The payment of the prize will be mediated by the partner company Hub4Pay, on a prepaid card. This card, which will be available in a virtual modality, works as a means of payment offered by Hub4Pay and will allow the REFERRER to make purchases and pay for services by using previously credited and authorized values. It is a prepaid payment instrument, which does not constitute a credit limit grant, and its use is restricted to the available balance.
5.6. The virtual card can be used in online transactions and, additionally, in physical stores using the online card through the digital wallets Apple Pay, Google Pay and Samsung Pay, and can be used in commercial establishments that accept the corresponding flag, both in-person and online purchases.
5.7. To receive the prize, the REFERRER must register on the Hub4Pay platform.
5.7.1. The values credited to the prepaid card may be freely used by the REFERRER.
5.7.2. The platform also allows the payment of bills and bank slips, cell phone recharges and online balance consultation.
5.7.3. If the REFERRER prefers to withdraw the amount, the operation is allowed upon payment of a transfer fee of R$ 9.00 (nine reais), charged by the card operator, and this amount may be changed according to the conditions provided by Hub4Pay.
5.8. The REFERRER declares to be aware that, in addition to specific fees such as the withdrawal fee, other operational costs related to the Hub4Pay payment platform may be charged. According to the service contract, costs such as bank transfer and user activation, for example, may be charged by Hub4Pay directly from the REFERRER, referred to in this instrument as the REFERRER
5.9. The REFERRER is prohibited from using the card for illegal transactions or those prohibited by the issuer's policies. Violation of this rule will result in the immediate cancellation of their registration in the program.
5.10. The prize amount will be paid to the beneficiary through a virtual card made available by Hub4pay, already with the due withholding of taxes required by current legislation, especially Withholding Income Tax (IRRF), when applicable. The responsibility for the withholding and collection of the incident taxes will be up to MIGRATE, which will make the payment of the net amount due. By participating in this program, the beneficiary declares to be aware that the reward is subject to taxation according to current tax legislation, understanding and agreeing that the payment will be made already deducted from the mandatory taxes
5.11. The failure of the REFERRER to comply with the registration requirements or the rules for using the card on the Hub4Pay platform may make it impossible to receive the prize. In these cases, MIGRATE will not have any obligation to make the payment by another means, unless expressly decided otherwise.
6. Information Privacy
6.1. MIGRATE undertakes to treat all personal data provided by the REFERRER and the REFERRAL in strict compliance with the General Data Protection Law (LGPD, Law no. 13.709/2018) and other applicable laws. The collected information will be used exclusively for specific and legitimate purposes, such as analyzing the qualification of the referral (lead), establishing commercial contact with the REFERRAL, enabling the payment of the reward in case of conversion, as well as managing communication about the progress of the program. They may also be used for other related purposes, as long as they are directly linked to the execution and fulfillment of these regulations.
6.2. By making a referral, the REFERRER declares and guarantees that they have the prior and explicit consent of the referral for the sharing of their personal data with MIGRATE. This consent must be for the specific purpose of receiving a commercial contact about the company's products and services, in full compliance with the LGPD.
6.3. The sharing of personal data with third parties will occur only when strictly necessary for the execution of the InvoiCy Referral Program. The data of the REFERRER will be shared with the partner company Hub4Pay with the sole purpose of processing and effecting the payment of the reward.
6.4. MIGRATE will adopt the possible technical and administrative measures to maintain the confidentiality and security of personal data. However, it will not be responsible for damages that may arise from the violation of these measures by third parties who use fraudulent or illegal means to access the information.
6.5. MIGRATE may compile and aggregate the data related to the performance and use of the program to generate statistical analyzes and internal reports, always in an anonymized way, to implement improvements in the service.
6.6. Due to legal and regulatory obligations, MIGRATE may keep the information collected from the REFERRER in its database, for the minimum period required by applicable law. After this period, the data will be deleted, unless there is another legal provision that requires its continuity.
6.7. To exercise their rights as a data subject — including access, correction or deletion of information — the REFERRER, the REFERRAL or any person or company eventually referred in the program who does not recognize the referral or wishes to request the removal of their data, can contact the MIGRATE Privacy Center, available at the link https://vencyone.cloud/painel-empresa/3510770211-central, or through MIGRATE's service channels.
7. Good practices
7.1. The REFERRER must always act with ethics and good faith. It is strongly recommended not to refer people or companies against their will, respecting the consent for data sharing, as already established in these regulations.
7.2. It is strictly forbidden for the REFERRER to provide false, inaccurate or misleading information, both in their own registration and in the referral data. Any attempt to defraud or deceive the program, including, but not limited to:
a) Registering simulated referrals or those that do not have a real purpose;
b) Trying to impersonate another person to make or receive the reward for the referral; Will result in the immediate cancellation of the REFERRER's registration and the automatic loss of the right to any current or future reward.
8. Responsibilities
8.1. MIGRATE is not responsible for defects, technical defects or operational failures originating from the system, computer or internet connection of the REFERRER, or third parties, that may prevent or hinder participation in the InvoiCy Referral Program.
8.2. MIGRATE will not be responsible for reimbursing its referrers for any expenses with telephone calls, data packages, or any other amount spent by the REFERRER to make the referrals or participate in the InvoiCy Referral Program. The reward, when due, is the sole and total compensation for the converted referral.
8.3. MIGRATE reserves the right to collaborate with competent judicial authorities and government bodies, and may share registration and commercial information of the REFERRERS when required by law or when it deems it necessary to protect the company, its employees, partners or third parties against illicit activities or that may cause harm.
9. General Provisions
9.1. The present InvoiCy Referral Program has an indefinite term, and can be canceled at any time, by resolution of MIGRATE.
9.2. Participation in the present program does not imply, in any way, the constitution of a corporate, employment, labor, associative, mandate, franchise or any other form of legal relationship between MIGRATE and the REFERRER, other than that strictly arising from the provisions set forth in this Regulation.
9.3. MIGRATE cannot ensure or guarantee the success of any referral made, since the conversion into a sale depends on multiple factors, including the interest and the final decision of the potential client.
9.4. The conditions of this Regulation constitute the entire agreement between MIGRATE and the REFERRER regarding the InvoiCy Referral Program. Participation implies acceptance of all the terms described herein and the completion of all the fields required for the referral.
9.5. MIGRATE reserves the right to change the terms of this Regulation at any time. Such changes will be communicated with prior notice through the program's official channels and will take effect on the date of their publication.
